Terms of Service
The agreement between you and BrandSecurer when you use our services.
These Terms of Service ("Terms") govern your access to and use of the BrandSecurer brand protection service, including our website, dashboard, and APIs (collectively, the "Service"). By signing up for or using the Service, you agree to these Terms. If you don't agree, don't use the Service.
1. Your account
You must be at least 18 and authorized to bind the company you're signing up on behalf of. Keep your credentials secure; you're responsible for activity under your account.
2. The Service
We provide brand protection scanning, detection, and reporting for the domains and keywords you configure. We make commercially reasonable efforts to keep the Service available and accurate; we don't guarantee 100% detection or zero false positives.
3. Acceptable use
You agree not to:
- Use the Service to monitor brands you don't own or aren't authorized to protect.
- Reverse-engineer, scrape, or attempt to derive the Service's detection logic.
- Interfere with the Service's operation or use it to harm any third party.
- Resell access without an agency or partner agreement.
4. Fees and payment
Plan fees are charged in advance — monthly or annually — at the rate listed on our pricing pageor in your contract. We don't charge surprise overages. All fees are exclusive of taxes, which you're responsible for where applicable. Payment terms, including how plan changes are prorated and our refund policy, are described in the Refunds section below.
Automatic renewal.Unless you cancel, subscriptions renew automatically at the end of each billing cycle — monthly plans every month and annual plans every year — at the then-current rate, using the payment method on file. For annual plans we'll email you a reminder before the renewal date. You can turn off auto-renewal anytime from your account settings (see Cancellation); to avoid the next charge, cancel before your renewal date.
5. Free trial
The 7-day free trial requires no credit card. At the end of the trial, you choose to subscribe or your account is paused. We won't auto-charge you without your authorization. The free trial is your opportunity to evaluate the Service before paying.
6. Refunds
All fees are final and non-refundable.Except for the one-time guarantee described below, we don't issue refunds or cash credits for any reason — including unused or partial billing periods, account downgrades, or unused scan volume — whether or not you actively used the Service.
First-time money-back guarantee.If you're not satisfied with your first paid subscription, email legal@brandsecurer.com within 7 days of your first paid invoice and we'll issue a one-time full refund of that payment. This guarantee is available once per customer and does not apply to renewals, plan upgrades, or any subsequent subscription.
Plan changes and proration. When you upgrade or downgrade, we prorate the difference and apply it as account credit toward your future invoices. Proration is a billing adjustment, not a cash refund, and is never paid out in cash.
Chargebacks. Because we provide a free trial and a first-payment money-back window, you agree not to dispute or charge back any payment to the Service, and you waive any right to do so. To stop future charges, cancel before your next billing date (see Cancellation); cancellation prevents future charges but does not refund amounts already paid, outside the first-time guarantee above.
7. Cancellation
Cancel from your account settings anytime. Cancellation stops future billing at the end of your current billing cycle, and you keep access until then. Consistent with our Refunds policy, no refund is issued for the remainder of a paid period.
8. Confidentiality
We treat your configuration data, violation reports, and partner connections as confidential. You agree to do the same with any non-public information you receive about the Service.
9. Intellectual property
We retain all rights to the Service, including detection logic, dashboards, APIs, and documentation. You retain rights to your brand assets, configuration, and the violation reports we generate for you.
10. Disclaimers
The Service is provided "as is." We don't guarantee specific business outcomes — reduced fraud, recovered spend, or successful takedowns. Detection is probabilistic, not perfect.
11. Limitation of liability
To the fullest extent permitted by law, our aggregate liability under these Terms is capped at the amount you paid us in the 12 months preceding the claim. We're not liable for indirect or consequential damages.
12. Indemnity
You agree to indemnify and hold BrandSecurer harmless from any third-party claims, losses, or expenses (including reasonable legal fees) arising from your use of the Service, the brands or domains you ask us to monitor, your content or configuration, or your breach of these Terms.
13. Termination
We may suspend or terminate your access if you breach these Terms or fail to pay. We'll provide reasonable notice except in cases of fraud or material harm. Consistent with our Refunds policy, no refund is issued on termination.
14. Governing law
These Terms are governed by the laws of the jurisdiction in which BrandSecurer is established, without regard to conflict-of-law principles.
15. Dispute resolution
If a dispute arises, we ask that you first contact us at legal@brandsecurer.com so we can try to resolve it informally. Both parties agree to negotiate in good faith for at least 30 days before starting formal proceedings. If we can't resolve it, disputes will be brought exclusively before the competent courts of the jurisdiction in which BrandSecurer is established, and each party bears its own costs.
16. Changes
We may update these Terms; material changes will be announced by email at least 30 days before they take effect. Continued use after the effective date constitutes acceptance.
